Terms of Service
Key points
- AlphaCut Studio is operated by yiming he. Payments are handled by Paddle, our Merchant of Record.
- Credits are a usage allowance for the Service. They are not money and cannot be cashed out or transferred.
- You keep the rights to what you upload and, as far as the law allows, to the images you create. You must have the rights to everything you upload.
- Sexual content, deepfakes, images of real people without their consent, and illegal or deceptive content are not allowed.
- Subscriptions renew automatically until you cancel. Refunds are covered by our Refund Policy.
1. About these Terms
These Terms of Service ("Terms") govern your use of AlphaCut Studio, including our website, the studio workspace and the related AI features (together, the "Service"). The Service is operated by yiming he, 深圳市南山区 (Nanshan District, Shenzhen, China) ("we", "us", "our").
By creating an account, buying a subscription or credit pack, or otherwise using the Service, you agree to these Terms, our Privacy Policy and our Refund Policy. If you do not agree, please do not use the Service.
If you use the Service for a company or other organization, you confirm that you are authorized to accept these Terms on its behalf, and "you" includes that organization.
2. Eligibility and your account
- You must be at least 18 years old, or the age of majority where you live if that is higher, to use the Service.
- You can sign in with a one-time code sent to your email address or with your Google account. Keep access to your email and Google account secure; you are responsible for activity under your account.
- Each person may have only one account. Do not create accounts with automated tools, disposable email addresses or false information, and do not create multiple accounts to obtain extra free credits.
- Tell us promptly at support@wtstudio.top if you believe someone has accessed your account without permission.
3. The Service
The Service provides AI background removal (cutouts), AI image generation from text prompts, AI scene composition that places your subject into a generated scene, and tools to adjust and export images.
- Some features rely on third-party AI models and computing providers, described in our Privacy Policy.
- AI results can be inaccurate or imperfect, and similar results may be produced for other users. Review every result before you rely on it or publish it.
- We may add, change or remove features, AI models or providers. If a change materially reduces a paid feature you are using, we will tell you in advance where reasonably possible.
- We may set reasonable limits, such as maximum file sizes and request rates, to keep the Service stable and fair.
- We work to keep the Service available, but we do not guarantee that it will be uninterrupted or error-free. It may be unavailable during maintenance or because of problems with our providers.
4. Plans, credits and payments
Plans
We offer a free plan and paid subscription plans, and we may offer one-time credit packs. The current prices, credit allowances and the number of credits each action uses are shown on our pricing page and in the studio before you start an action.
Credits
- Daily credits. Each plan, including the free plan, comes with a daily credit allowance that resets every day at 00:00 UTC. Unused daily credits do not carry over to the next day.
- Credit pack credits. Where we offer credit packs, their credits do not expire while your account remains open and can be used alongside your daily credits. Daily credits are used first.
- Failed actions. If an action fails because of an error on our side or our providers' side, including when a request is blocked by a provider's safety filter, the credits for that action are returned to your account automatically.
- What credits are. Credits are a limited, personal, non-transferable allowance to use the Service. They are not money, currency or stored value, have no cash value, and cannot be sold, transferred, exchanged for cash or redeemed outside the Service. Credits are refundable only as described in our Refund Policy or where the law requires.
- Promotional credits. Free or promotional credits may expire or be withdrawn and are never refundable.
- Changes. We may change daily allowances or the number of credits an action uses, for example when the cost of an AI model changes. Changes apply going forward. We will not reduce the number of credits already in your account.
Payments through Paddle
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
Your purchase is also governed by Paddle's Buyer Terms. Paddle collects your payment, calculates and pays any applicable sales tax or VAT, and sends your receipts. We never receive or store your full payment card details. We provide support for using the Service itself.
Prices are shown in US dollars, or in your local currency where Paddle offers it, and include any applicable VAT or sales tax unless the checkout states otherwise.
Subscriptions, renewal and cancellation
- Subscriptions are billed monthly or yearly in advance and renew automatically at the end of each billing period at the then-current price, using your payment method on file, until you cancel.
- You can cancel at any time from your account in the studio, or by contacting us or Paddle. Cancelling turns off automatic renewal, so no further payments are taken. You keep your plan and its daily credits until the end of the billing period you have already paid for, and your account then returns to the free plan. If a renewal payment is still outstanding when you cancel, the subscription ends right away, because there is no paid period left. Whether a refund is available is described in our Refund Policy.
- If we raise the price of your plan, we will notify you at least 14 days before the new price applies to your next renewal. You can cancel before then if you do not want to continue.
- You can upgrade to a higher plan at any time from the plans page. The upgrade changes your existing subscription instead of starting a second one, and applies right away. The amount due today is prorated: the unused time on your previous plan is credited against the price of the new plan, and any credit left over is applied to your future bills. Before you confirm, we show the amount due today, the renewal price and your next billing date. If the payment does not go through, your plan stays as it was. You cannot upgrade online while automatic renewal is turned off.
- If a renewal payment fails, Paddle may retry it. If it still fails, your account may return to the free plan.
- If you file a chargeback or payment dispute, we may suspend your account while it is reviewed. Please contact us first so we can try to fix the problem.
5. Your content and AI outputs
"Inputs" are the images, prompts and other material you submit to the Service. "Outputs" are the images the Service returns to you.
- Ownership. You keep all rights you have in your inputs. As between you and us, you own your outputs to the extent the law allows. In some countries AI-generated images may not be protected by copyright, and outputs for different users can be similar.
- Permission to process. You allow us, and the providers we use to run the Service, to receive, process, transmit and temporarily store your inputs and outputs only as needed to provide the Service to you, keep it secure and comply with the law. We do not use your inputs or outputs to train AI models.
- Your responsibility. You confirm that you have all the rights and permissions needed for your inputs, including the consent of any identifiable person shown in them. You are responsible for how you use your outputs, including making sure they do not infringe anyone's trademarks, copyrights, privacy or publicity rights.
6. Acceptable use
You must not use the Service to create, upload or share content, or to take actions, that:
- is illegal, or infringes intellectual property, privacy or publicity rights, for example removing watermarks from or editing images you have no right to use;
- is sexually explicit or sexually suggestive, or contains nudity;
- sexualizes, exploits or endangers minors in any way. We report such content to the authorities;
- is a deepfake or face swap, or depicts a real, identifiable person without their explicit consent, or impersonates someone;
- is designed to deceive, such as fake news imagery, forged documents, fake identity documents, counterfeit products or fake receipts;
- promotes hate, harassment, violent extremism, terrorism, self-harm or graphic violence;
- attempts to bypass our or our providers' content filters or safety systems, including through repeated or disguised prompts;
- abuses the Service, such as creating multiple accounts for free credits, sharing or reselling account access, scraping, automated bulk use outside the features we provide, reverse engineering, probing or interfering with our security, or uploading malware.
We and our providers use automated filters, which can sometimes block acceptable requests. We may refuse or remove content, block requests, and suspend or close accounts that break these rules, and we may report illegal content to the relevant authorities.
7. Our rights in the Service
The Service, including its software, design, text and branding, belongs to us and our licensors. Subject to these Terms, we give you a limited, non-exclusive, non-transferable and revocable right to use the Service. If you send us feedback or suggestions, we may use them without any obligation to you.
8. Third-party services
The Service works with third-party services such as Google sign-in, Paddle checkout and AI model providers. Your use of those services may also be subject to their own terms. We are not responsible for third-party services that we do not control.
9. Suspension and termination
- You can stop using the Service at any time. To close your account and delete your data, email us at support@wtstudio.top from the address linked to your account.
- We may suspend or close your account if you seriously or repeatedly break these Terms, if your use creates a legal or security risk, if a payment is reversed, or if the law requires it. Where appropriate, we will tell you why and give you a chance to respond.
- If we close your account for reasons other than your breach of these Terms, we will refund any prepaid subscription fees for the unused part of the billing period and any unused credit packs.
- When your account is closed, your credits end. Sections of these Terms that by their nature should continue, such as those on ownership, disclaimers, liability and disputes, will continue to apply.
10. Disclaimers
To the extent permitted by law, the Service and all outputs are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement. Nothing in these Terms affects rights you have as a consumer that cannot be excluded under the law that applies to you.
11. Limitation of liability
To the extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising from your use of the Service.
To the extent permitted by law, our total liability for all claims relating to the Service is limited to the greater of the amount you paid for the Service in the 12 months before the event giving rise to the claim, and USD 50.
These limits do not apply to liability that cannot be limited by law, such as liability for fraud, or for death or personal injury caused by negligence.
12. Indemnity
To the extent permitted by law, you agree to compensate us for reasonable losses and costs arising from third-party claims caused by your inputs, your use of outputs, or your breach of these Terms. This section does not apply to consumers where the law does not allow it.
13. Changes to these Terms
We may update these Terms from time to time, for example when we change the Service or when the law changes. If a change is material, we will notify you by email or in the Service at least 14 days before it takes effect. If you continue to use the Service after the change takes effect, the updated Terms apply. If you do not agree, you can cancel your subscription and stop using the Service.
14. Governing law and disputes
If you have a concern, please contact us first so we can try to resolve it informally.
These Terms are governed by the laws of the laws of the People's Republic of China (Mainland China), without regard to conflict-of-law rules, and the courts of the laws of the People's Republic of China (Mainland China) have jurisdiction over disputes about them. If you are a consumer, you also keep the protection of the mandatory laws of the country where you live and may bring a claim in your local courts.
15. General
- These Terms, together with our Privacy Policy and Refund Policy, are the entire agreement between you and us about the Service.
- If any part of these Terms is found unenforceable, the rest remains in effect.
- If we do not enforce a right immediately, we have not waived it.
- You may not transfer your rights under these Terms. We may transfer ours to a successor operating the Service, and will tell you if we do.
- These Terms are written in English and may also be available in other languages. If there is any conflict, the English version prevails.
